Terms of Service

1. Using Companion

You may use Companion only if you can form a binding contract with us and comply with these Terms and applicable law. You must be at least 13 years old or the minimum age required in your location. If you are under 18, you must have permission from a parent or legal guardian. Certain paid, workspace, connector, computer-use, or autonomous-agent features require you to be at least 18.

You are responsible for providing accurate account information, keeping your account and credentials secure, all activity under your account, the instructions, files, data, connectors, and permissions you provide to Companion, and reviewing outputs and actions before relying on them. You may not share account credentials or allow unauthorized users to access your account.

2. AI outputs and agent actions

Companion is an AI service. It can generate text, code, images, files, plans, summaries, recommendations, and other outputs. It can also take actions when you authorize tools, connectors, computer access, browser access, voice features, routines, or Autopilot.

AI outputs and agent actions may be inaccurate, incomplete, outdated, unsafe, or different from what you intended. You must independently review and verify outputs and actions before relying on them, sharing them, publishing them, submitting them, making decisions based on them, or allowing them to affect third parties.

Companion is not a substitute for professional advice. Do not rely on Companion as your sole source for legal, medical, financial, tax, employment, insurance, housing, emergency, safety, or other high-stakes decisions.

3. Inputs, outputs, and ownership

Inputs means prompts, messages, files, images, audio, instructions, connector data, feedback, and other content you provide to Companion. Outputs means content generated by Companion in response to Inputs. Agent Actions means actions Companion takes on your behalf using tools, connectors, browsers, computers, routines, or other integrations.

You retain the rights you have in your Inputs. Subject to your compliance with these Terms and applicable law, we assign to you any rights we have in Outputs. This does not mean Outputs are unique to you, that other users cannot receive similar outputs, or that Outputs are free from third-party rights.

You represent that you have the rights and permissions needed to provide Inputs to Companion and to authorize Companion to process them, share them with providers, and take Agent Actions at your direction.

4. License to operate the services

You grant Companion a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, modify, create derivative technical artifacts from, and otherwise use Inputs, Outputs, and Agent Actions as needed to provide, operate, secure, and improve the Services; run AI models, tools, sandboxes, browsers, computers, connectors, and integrations; store and sync your chats, files, memories, routines, projects, apps, and settings; prevent abuse; debug issues; enforce these Terms; and comply with law.

Our Privacy Policy explains how we handle personal information and model-improvement choices.

5. Connectors, browser, computer use, and Autopilot

Companion can connect to third-party services and act in environments you authorize, including email, calendar, documents, storage, messaging, browsers, desktops, terminals, code repositories, websites, MCP servers, and other tools.

When you connect a service or grant tool access, you authorize Companion to access, read, write, edit, send, upload, download, delete, publish, execute, or otherwise act within the scope of the permissions you grant and the instructions you provide.

Autopilot and similar modes may allow Companion to approve actions without asking every time. Turn them on only when you understand the risk. You remain responsible for actions taken under your account and permissions. Third-party services are governed by their own terms and privacy policies.

6. Acceptable use

You may not use Companion to violate law or third-party rights; harm, harass, threaten, defame, deceive, or exploit people; create, distribute, or facilitate malware, credential theft, spam, phishing, evasion, unauthorized access, or security abuse; scrape, exfiltrate, or process data without required rights or authorization; impersonate others or misrepresent generated content; generate unlawful, abusive, exploitative, or infringing content; or make automated high-stakes decisions about people without appropriate human review and legal compliance.

You may not use Companion to create weapons, surveillance abuse, biometric identification, or systems that unlawfully track or profile people; bypass rate limits, safety systems, billing systems, access controls, or usage restrictions; reverse engineer, extract, or use the Services to build competing AI models or services except where law allows; or resell, rent, or provide unauthorized access to Companion.

We may suspend, limit, or terminate access when we believe these Terms, law, safety requirements, or third-party rights have been violated.

7. Paid services, credits, and cancellation

Some features require payment, a subscription, credits, usage balance, top-ups, or auto-reload. Prices, included usage, storage, routines, published apps, and other plan limits are shown in the product or checkout flow.

Subscriptions renew automatically unless cancelled before renewal. You can change or cancel supported plans from Settings or through the applicable app-store or payment-provider flow. Cancelling stops future renewal but does not automatically refund past charges unless required by law or stated in the checkout flow.

Trials convert to paid subscriptions at the end of the trial period unless cancelled before the trial ends. Usage-based credits, promotional credits, referral credits, and top-ups are not cash, are not transferable, and are not refundable except where required by law or stated in the checkout flow. They may expire or be limited as described in the product.

8. Workspaces, teams, projects, and administrators

If you use Companion through a workspace, team, project, organization, employer, school, or other managed account, the administrator or owner may be able to manage access, settings, billing, retention, connectors, projects, users, chats, files, logs, and other workspace data. Your use may also be subject to the organization's policies.

If you create or publish apps, pages, automations, workflows, or other content for other users, you are responsible for that content, the users you invite, required notices, privacy disclosures, consent, and legal compliance.

9. Feedback

You may provide feedback, suggestions, bug reports, ideas, or ratings. We may use feedback without restriction or compensation to you, including to improve Companion, develop features, and operate the Services. Do not submit feedback that you want treated as confidential.

10. Service changes and availability

Companion is evolving. We may add, remove, limit, suspend, or change features, models, connectors, providers, tools, limits, pricing, or availability. We do not guarantee that any feature, model, connector, tool, output, action, or third-party service will always be available or unchanged.

11. Termination

You may stop using Companion at any time. You may request account deletion through supported controls or by contacting team@companion.ai.

We may suspend or terminate your access if you violate these Terms, create risk for Companion or others, fail to pay amounts due, or if required by law or provider requirements. Upon termination, your right to use the Services ends. We may delete or retain data as described in the Privacy Policy and as required or permitted by law.

12. Disclaimers

The Services, Outputs, Agent Actions, connectors, tools, computers, browsers, sandboxes, and third-party services are provided as is and as available. To the fullest extent permitted by law, we disclaim warranties of accuracy, reliability, availability, security, merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that Companion will be uninterrupted, error-free, secure, current, complete, or that Outputs or Agent Actions will meet your requirements.

13. Limitation of liability

To the fullest extent permitted by law, Companion and its affiliates, officers, employees, agents, licensors, providers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, revenue, business, or reputation.

To the fullest extent permitted by law, our total liability for all claims relating to the Services or these Terms will not exceed the greater of $100 or the amount you paid to Companion for the Services in the 3 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some limits may not apply to you.

14. Indemnity

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Companion and its affiliates, officers, employees, agents, licensors, providers, and partners from claims, damages, losses, liabilities, costs, and expenses arising from your Inputs, Outputs, published content, apps, routines, or Agent Actions; your use or misuse of the Services; your violation of these Terms or law; your violation of third-party rights; your connected services, third-party accounts, or instructions to Companion; or your operation of published apps, websites, workflows, or services created with Companion.

15. Copyright and intellectual property complaints

If you believe content on Companion infringes your intellectual property rights, contact team@companion.ai with enough information for us to investigate. We may remove or disable content and may terminate repeat infringers where appropriate.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware and U.S. federal law, excluding conflict-of-law rules, except where mandatory consumer law gives you rights that cannot be waived. Any dispute will be resolved in the state or federal courts located in Delaware, unless applicable law requires a different forum.

17. Changes to these terms

We may update these Terms from time to time. We will post the updated Terms and update the effective date. If changes are material, we will provide additional notice where required. Your continued use of Companion after the effective date means you accept the updated Terms.
